Terms of Service – LiveRun Pilot Programme

Effective from 2026-10-02 · Version 1.1

This is an informational translation. In case of any discrepancy, the Polish version prevails.

§ 1. General provisions

1.

These Terms set out the rules for using the LiveRun service — browser-based software for planning and operating television and media productions (in particular for keeping schedules, cast and crew lists, teams, vehicle records, rundowns, working communication and post-production reports) - made available to the Client within a closed Pilot Programme. The Terms set out in particular the rules for concluding and terminating the Agreement, technical requirements, the rights and obligations of the Parties, liability, complaints, and the conditions for storing and exporting data. These Terms also constitute the terms for the provision of electronic services within the meaning of Article 8(1) of the Polish Act of 18 July 2002 on the provision of electronic services.

2.

The Service Provider is:

3.

Conclusion of the Agreement. The Agreement for the use of the Service is concluded with the Client upon activation of the Client Account, after a duly authorised person makes an express declaration accepting the Terms and the Data Processing Agreement by ticking the relevant checkbox in the registration form. The detailed rules on the moment of concluding the Agreement and creating the Account are set out in § 4 of the Terms. By accepting, the Client declares that it has read these Terms and undertakes to comply with them.

4.

The Terms and the Data Processing Agreement are made available free of charge before the Agreement is concluded on the app.liverun.io website, in a manner that allows them to be downloaded, saved, reproduced and recorded.

5.

Neither the Pilot Programme nor the Test Service is directed at consumers within the meaning of Article 22¹ of the Polish Civil Code. Given the nature of the Service and the purpose of the Pilot Programme, the Client may only be an entrepreneur concluding the Agreement directly in connection with its business or professional activity. The Pilot Programme is directed exclusively at professionals. The above provisions do not limit the Client's rights under mandatory provisions of law.

§ 3. Scope and duration of the Pilot Programme

1.

The Pilot Programme runs from 2 October 2026 to 31 December 2026. The Agreement is concluded for a fixed term from the day the given Client's Account is activated until the end of the Pilot Programme. Further use of the Service requires express acceptance of a new offer or an extension of the Pilot Programme by a relevant agreement of the Parties.

2.

Within the Pilot Programme, limits may be introduced on Productions, Users, storage space, traffic or other resources. The Client is informed of such limits before the Agreement is concluded.

3.

The purpose of the Pilot Programme is to verify the functionality of the Service, its stability, security and usefulness in operational conditions, and to obtain feedback from potential interested parties.

4.

Participation in the Pilot Programme is entirely voluntary.

5.

LiveRun made available in the Pilot Programme is a non-production version of the Service, made available only to invited Clients for testing and evaluation for a limited time. Access to the Pilot Programme is possible only on the basis of an individual Invitation. The Invitation does not constitute a public offer and may not be transferred to other entities without the Service Provider's consent. The Service Provider may decide to admit or refuse to admit a given partner to the Pilot Programme according to its own pilot criteria.

6.

The Invitation (access code) is individual and may not be made available to any other entities without the Service Provider's consent.

7.

The Test Service may be used on real Productions; however, the User is aware of the test nature of the Service and should therefore use the Service only in accordance with these Terms, while providing its own security procedures regarding any fallback services used in the organisation or the scope of data the Client allows to be entered into the Service.

8.

At the Service Provider's request, the Client, where possible, provides brief information on errors, usefulness and experience with the Service. Any errors, detected vulnerabilities and suggestions regarding the functionality of the Service should be reported during the Pilot Programme to: team@liverun.io.

9.

Without the Service Provider's prior consent, the Client does not carry out or publish the results of performance or security tests, non-public screenshots, information about vulnerabilities or comparisons based on the non-public version of the Service. This restriction does not apply to disclosure required by law or to the Client's internal evaluation conducted confidentially.

§ 4. Conclusion of the Agreement and authority

1.

The process of concluding the Agreement includes:

a.

the Client applying to the Pilot Programme;

b.

receiving the Invitation and verifying the e-mail address;

c.

providing the Client's and the Organisation Administrator's details required by the registration form;

d.

entering the access code provided in the Invitation;

e.

choosing the appropriate plan / functions;

f.

making the required declarations and accepting these Terms and the Data Processing Agreement.

2.

The Agreement is concluded at the moment the Client Account is activated, which takes place immediately and automatically after the Client completes the registration process described in section 1 above.

3.

Authority. The natural person accepting the Terms on behalf of the Client and creating the Client Organisation Account under their e-mail address (the Organisation Administrator) also declares that they are authorised to conclude, on behalf of the Client, the Agreement for the provision of the Service and the Data Processing Agreement. In case of justified doubt, the Service Provider may request confirmation of authority together with the Client's registration details in documentary form, also after the Agreement has been concluded. If acting beyond the scope of due authority, the person accepting the Terms is liable to the Service Provider under Article 103 § 3 of the Polish Civil Code and, in addition, undertakes in their own name to remedy any damage suffered by the Service Provider as a result and to indemnify the Service Provider against any third-party claims in this respect.

4.

If the person who made the declaration was not duly authorised, the Service Provider may set a deadline for the Agreement to be confirmed by an authorised person and restrict access until then. This does not limit the effects of mandatory provisions of law on acting without authority.

5.

The Service Provider records data allowing it to demonstrate the conclusion of the Agreement, in particular the Account identifier, the details of the Client and of the person making the declaration, the date and time of acceptance and the version numbers of the accepted Terms and Data Processing Agreement. The evidence is kept for the period necessary to perform the Agreement and to establish, pursue or defend claims.

6.

An Account may be created only from an e-mail address in the Client's company domain.

§ 5. Account

1.

An Account is created by providing an e-mail address in the registration process referred to in § 4 of the Terms. Sign-in takes place via a link sent to that address or with a password, if the User sets one.

2.

The Service provides Accounts with different scopes of permissions:

a)

a) Client Account — created by a person acting on behalf of the Client, making the declaration of authority referred to in § 4(3) of the Terms, on the basis of an individual Invitation from the Service Provider; its creation establishes the Client's Organisation and concludes the Data Processing Agreement (Annex No. 1). It is an independent Account with permissions resulting from the Agreement with the Service Provider;

b)

b) Account with permissions granted by the Client Workspace User Account (e.g. the Account of a Crew Lead, Producer, Production Manager or Director created at the Client's invitation within its Organisation (within the Client's Workspace) and within the scope of permissions granted by it; the Workspace User's permissions depend on the permissions granted by the Client. The Workspace User accepts these Terms and the Data Processing Agreement before registration. The rules for using the Account in one's own name or on behalf of a represented entity, and for concluding the Agreement and the Data Processing Agreement with respect to Own Data, are set out in section 9 below.

3.

The Client is responsible for the scope of permissions granted to Users in its Organisation and for revoking them promptly when the basis for access ceases. The LiveRun application allows roles to be assigned according to the principle of least necessary access. The Client should agree with the Users acting within its Workspace the rules for granting further permissions, so that they comply with the Client's policy on personal data processing and trade secrets in its organisation.

4.

The Account is individual. It is prohibited to share it with other persons or for several persons to use one Account. It is also prohibited to share a password, an authentication code or a sign-in link with another person.

5.

The User is responsible for who they share their screen with — in an outside broadcast van, in a control room and during presentations.

6.

Enabling two-factor authentication is mandatory for Accounts from which Productions of more than one Client are managed. For other Accounts the Service Provider recommends it. Failure to comply is taken into account when assessing the causes of a personal data breach and the allocation of liability. The Service Provider may require two-factor authentication before performing higher-risk operations, i.e. changing the password, disabling 2FA or deleting the Account.

7.

The User and the Client promptly report the loss, disclosure or suspected use of access credentials by an unauthorised person to team@liverun.io and use the available functions for invalidating a session or a link. A Crew member and a Workspace User also promptly notify the Client.

8.

The Service Provider may block an Account or restrict access to the extent necessary to protect the Service, data or the rights of third parties in the event of a gross breach of the Terms, unlawful use of the Service or actions threatening security — stating the reason. Unless this increases the threat, the Service Provider provides the justification, scope and expected duration of the restriction and information on the possibility of filing a complaint.

9.

Workspace User:

a)

a) The Workspace User uses the Account in accordance with the Terms, within the permissions granted by the Client and in accordance with the Workspace rules made available to them. The Client may revoke those permissions;

b)

b) if the Workspace User intends to use the Service as a separate controller or processor (in its own name or on behalf of a represented entrepreneur), before entering data not covered by the entrustment made by the Client (“Own Data”), it indicates that entity's details in the Account data, makes the required declarations on its behalf and expressly accepts the Terms and the Data Processing Agreement;

c)

c) upon such acceptance, the Agreement and the Data Processing Agreement are concluded between the Service Provider and the entity indicated in accordance with point b) above. All provisions of the Terms and the Data Processing Agreement concerning the Client apply accordingly to the conclusion and performance of these agreements, to the extent of the use of the Account and Own Data, including the rules on authority – taking into account the nature, limited functionality and ancillary character of the Account in relation to the Client's account. With respect to that entity, Own Data are treated as Client Content. That entity ensures that it has a legal basis for processing them and the right to entrust or sub-entrust them to the Service Provider;

d)

d) concluding these agreements does not create a separate Workspace, does not extend the permissions granted by the Client and does not grant any right to the data of other entities;

f)

f) an agreement concluded under this section depends on access to the Client's Workspace. It ends when that access is revoked, when the last Account linked to the given entity is deleted or when the Agreement with the Client ends. In such a situation the Workspace User has no claims whatsoever against the Service Provider. This is without prejudice to the right to export Own Data under § 11 or to the obligations regarding their return and deletion under the Data Processing Agreement.

§ 6. Access without signing in — crew link, wallboard, calendar

1.

The Service provides three types of addresses that work without signing in (without an Account): the Crew link, the wallboard address and the calendar feed. Each type of access has a separate scope of data and permissions.

2.

In each of them, the address itself is the access credential. Whoever holds it gains access to the assigned scope. A link or access address is a confidential element of access data and may act as a bearer token. It must not be published, indexed, placed in public documents, forwarded or shared via an unsecured channel / materials. The Service Provider is not liable for the acts and omissions of Crew members regarding the use of the Links granted to them.

3.

The Client is responsible for how these addresses are distributed and for not disclosing them to unauthorised persons, and establishes its own procedures in this respect for the Productions it handles.

4.

The Client acknowledges that the holder of a Crew link can write chat messages on behalf of the person to whom the link belongs. The link does not provide strong confirmation of identity and may not be used as the sole proof of authorship of a declaration with legal effect or for operations requiring a higher level of authentication.

5.

Each of these addresses can be invalidated and regenerated — a Crew link individually or for a whole team, in the Production panel; the Wallboard address and the calendar feed in the Production or Account panel. The validity period of Crew links should be adjusted to the risk of the Production.

6.

A Crew member sees only the scope of information assigned to their role in the Production. Crew links expire automatically 30 days after the Production end date entered by the Client in the panel. Access then ends without any action by the Client. The Client is responsible for correctly setting the Production end date; if it is missing or moved, the link remains active until invalidated by the Client.

7.

The access of a Crew link recipient is derived from the Client's entitlement and may be used only in connection with performing professional tasks for the Client or on a Production run for the Client. Sharing a Crew link or enabling Crew members to use the Service does not result in a separate agreement for the provision of the Service between them and the Service Provider, nor does it grant them an independent right to demand its provision. The Client is obliged to ensure that Crew members use the Service in accordance with the Terms and their access rules. The Client is liable to the Service Provider for their acts and omissions as for its own.

8.

The Service Provider may block a Crew link in the event of a security threat, suspected unauthorised access, breach of access rules or termination of the Agreement with the Client.

§ 7. Rules of use and obligations of the Client

1.

The Client uses the Service in accordance with the law and the Terms, without infringing the rights of third parties or security rules. The Client is responsible for compliance with the relevant security rules by Users and Crew members using the Service within its Organisation.

2.

In particular, it is prohibited to:

2.1.

enter any personal data into the Service without a valid legal basis;

2.2.

enter special categories of data (Article 9 GDPR — health, beliefs, trade union membership, biometric data), data relating to criminal convictions and offences (Article 10 GDPR) and identity document numbers and PESEL numbers. The Service is not intended for processing this type of personal data;

2.3.

use the Service to disseminate content that is unlawful, infringes personal rights, privacy, trade secrets or intellectual property rights, is harassing or discriminatory, contrary to good morals or principles of social coexistence, incites hatred, promotes violence, contains threats, is racist, defamatory, obscene, pornographic or slanderous;

2.4.

attempt to circumvent security measures, gain access to other clients' data or automatically download data on a scale beyond normal use;

2.5.

disrupt the operation of the Service or breach its security, including by introducing malicious code or software;

2.6.

carry out penetration tests or vulnerability scanning without the Service Provider's prior consent;

2.7.

resell or make the Service available to third parties without the Service Provider's consent, use non-public documentation about the Service or Confidential Information to copy LiveRun or create a competing product, or remove legal notices.

3.

The Client is responsible for Client Content, including having a legal basis for processing the data of the persons it enters and for fulfilling the information obligation towards data subjects.

4.

Breach of sections 1–3 constitutes a breach of the Agreement by the Client. The Client will indemnify the Service Provider and cover the damage suffered by the Service Provider in connection with the Client's breach of the above obligations.

5.

The Service is not intended for keeping working-time records, attendance control, profiling employees or making automated decisions producing effects for individuals.

6.

Where a communication function provides for limited administrator access to a team channel, the Client may not assume that it has hidden or permanent insight into messages. Access in connection with abuse, a legal obligation or securing evidence takes place only in accordance with the law, the Data Processing Agreement and the security procedure.

7.

The Client does not exceed the limits set out in the Invitation. The Service Provider may proportionately restrict excessive use threatening stability or security, after a prior warning, unless the situation requires immediate action.

§ 8. Availability, technical requirements and reporting of irregularities

1.

The Service Provider makes efforts to ensure the Service is continuously available, but given its pre-commercial nature it does not guarantee uninterrupted availability.

2.

Planned downtime is announced at least 48 hours in advance and scheduled outside peak hours. This period does not apply to urgent security updates, failures or events beyond the Service Provider's control.

3.

The Service Provider is not liable for unavailability resulting from causes on the side of infrastructure providers, the Client's connection provider or force majeure. Force majeure means an external event that could not be foreseen or prevented, in particular a natural disaster, war, an act of public authority, a widespread failure of the power or telecommunications network, or a massive cyber attack.

4.

The Terms do not set a guaranteed availability level (SLA). During the test period the Service is provided free of charge and without an availability guarantee. An availability level may be agreed separately in an individual agreement. Support is provided subject to availability, after contact at: team@liverun.io.

5.

Technical requirements necessary to use the Service: (i) an end device (e.g. a computer, smartphone, tablet) with Internet access and an up-to-date operating system (e.g. Linux, Windows, Android, iOS; (ii) an up-to-date web browser supporting standard web technologies (e.g. Chrome, Edge, Safari or Firefox) with JavaScript and cookies enabled; (iii) Acrobat Reader or another program supporting pdf files installed on the end device, as well as a program supporting .xlsx files; (iv) an active e-mail address. The Service Provider does not provide equipment or a connection. Using computer hardware or software that does not meet the technical requirements above may adversely affect the quality, security or availability of the Services provided.

6.

Using a Service provided electronically and using the Internet involves specific risks, in particular malware, phishing, tracking programs, spam or attempts at unauthorised access to data. Users should apply appropriate technical measures that reduce potential risks, e.g. firewalls, software updates, antivirus programs with the latest virus definitions and updates, data encryption, not opening e-mails of unknown origin, and using only legal programs and applications from official sources.

7.

Given the nature of the Service (a SaaS platform), using the Service does not require installing its updates.

8.

Use of the Service during the Pilot Programme is free of charge; however, the cost of connecting the User's devices and software to the Internet is borne by the User, according to the tariff of the network operator the User uses.

9.

Prohibition of providing unlawful content. The Client, Workspace Users and the Crew are prohibited from providing unlawful content; the catalogue of prohibited content is set out in § 7(2), and the procedure for reporting and removal in § 15.

10.

Changes to the Service. During the Pilot Programme the Service Provider may develop, modify, restrict or withdraw functions of the Test Service, in particular for testing, fixing errors, ensuring security or adapting to legal requirements. Such changes do not constitute an amendment of the Terms unless they change the rights and obligations of the Parties set out therein. The Service Provider informs the Client at least 14 days in advance of the withdrawal of a function essential for using the Service or of a change restricting the possibility of exporting data, unless the change is necessary immediately for security or legal reasons. Changes may not lower the level of security and data protection set out in the Terms and the Data Processing Agreement. The current scope of the Service's functionality is available at app.liverun.io.

11.

Reservation specific to live production. The Service is a supporting tool. The Client is obliged to have a fallback procedure enabling the Production to be carried out without access to the Service — in particular a printout of the rundown and schedule, which the Service makes available, and another available emergency communication channel.

12.

The Test Service is made available to the Client as is, which means in particular that the Service Provider does not guarantee: the absence of errors, its full availability or the suitability of the Test Service for any particular purpose of the Client.

13.

The Client may report reservations about the operation of the Test Service (including errors, defects, irregularities or other comments) to team@liverun.io, indicating the Account, a description of the irregularity and the date it occurred. The Service Provider considers the report or complaint and replies to the Client within 14 days of receipt, in the same form in which the Service Provider received the report (unless the Client expressly indicates another preferred form of contact). The Client acknowledges that within the Pilot Programme the Service Provider does not undertake to remove every reported irregularity.

§ 9. Free of charge

1.

The Service is currently provided free of charge, as part of tests with implementation partners. Using it does not give rise to a claim for further free provision or for a particular shape of the commercial version.

2.

The Service Provider reserves that the functions included in the Test Service may be incomplete, work differently from the target functions, be changed or not be included in a future commercial version. The Pilot Programme does not oblige the Service Provider to commercialise LiveRun or to conclude a further agreement with the Client.

3.

The Client acknowledges that it is not entitled to remuneration for participating in the Pilot Programme.

4.

The Client will be informed of the introduction of fees at least 14 days in advance. Further use after that date requires choosing a plan; failure to choose means the end of the service, without loss of data for the period referred to in § 17 of the Terms.

5.

The Client's data remain available for download regardless of the decision to continue.

§ 10. Personal data

1.

The Service Provider is a separate controller of personal data processed to create and operate Accounts, to contact the Client's representatives, to protect security, to handle claims and to fulfil its own legal obligations. The rules of processing data by the Service Provider in this respect are set out in the Privacy Policy.

2.

With respect to data entered by the Client (e.g. crew, contacts, drivers), the Client is the controller (or the processor of another controller) and the Service Provider is the processor (or a further sub-processor) within the meaning of the GDPR, depending on the actual division of roles within the Production. This requires concluding a Data Processing Agreement.

3.

Accepting the Terms is equivalent to concluding the Data Processing Agreement, the content of which constitutes Annex No. 1 to the Terms. A separate document is not required — Article 28(9) GDPR allows electronic form.

4.

If a broadcaster, a producer or another entity jointly determine the purposes and means of processing, those entities themselves conclude the arrangements on joint controllership required by law. The Terms and the Workspace configuration do not replace that arrangement. The Service Provider may request access to the above arrangement to the extent that it may affect the entity entitled to conclude the Data Processing Agreement on behalf of such joint controllers.

5.

The list of entities to which the Service Provider sub-entrusts data is public and available at: list of subprocessors. A change of subprocessor takes place in accordance with the Data Processing Agreement.

6.

The Client does not enter into one Workspace personal data originating from different controllers without regulating the basis for such sharing between them. The Client is aware of the access scopes of the individual roles (administrator, producer, production manager, Crew Lead, Crew Members) and, each time it plans a Production, uses the Account taking into account the authorisations to process personal data and protecting its own know-how. An external producer acting as the controller of personal data of a significant amount of information in the Workspace should create its own Organisation (Client Account), separate from the broadcaster's Organisation.

§ 11. Data export and deletion

1.

As the Test Service is a non-production version intended for testing and evaluation, pursuant to Article 31(2), the provisions and obligations of Chapter VI of Regulation (EU) 2023/2854 of the European Parliament and of the Council of 13 December 2023 on harmonised rules on fair access to and use of data (the “Data Act”) do not apply to it. This provision constitutes the information referred to in Article 31(3) of the Data Act, provided to the Client before the Agreement is concluded.

2.

Notwithstanding the non-application of these obligations, the Service Provider allows the Client to export data during the Agreement and for 30 days after it ends, unless an earlier restriction is necessary for legal or security reasons. In such a case it provides a secure, alternative way of transferring the data to the authorised person.

3.

Exported data comprise Client Content that can be downloaded using the standard tools made available in the Test Service, i.e. primarily: organisation data, contact lists, schedules, cast and crew, assignments, rundowns, working messages, vehicle and driver data, reports and other content and materials entered by the Client into the Test Service. Data are exported in a commonly used, structured, machine-readable format.

4.

The export does not include data of other Clients, authentication data, the Service Provider's internal security logs, code, algorithms, data models, the Service Provider's trade secrets or diagnostic data.

5.

Non-standard migration, conversion or assistance requires a separate arrangement with the Service Provider.

§ 12. Liability

1.

The Service is a tool supporting the carrying out of Productions. The obligation to have a fallback procedure referred to in § 8(11) is a condition of using the Service on live Productions and Productions critical for the Client.

2.

The Service Provider does not ensure the achievement of a particular result of a Production. The provisions of § 8 and of this paragraph do not exclude the obligation to act with the due diligence of a professional or the obligations concerning security, confidentiality, data protection and the rights of third parties.

3.

The Service Provider is liable only for actual damage suffered by the Client as a result of the Service Provider's culpable action. The Service Provider is not liable for lost profits, loss of revenue, reputation or opportunities, indirect or consequential damage, interruption of a Production, loss of broadcast or the cost of restoring a business process, nor for contractual penalties, liquidated damages, deductions or other charges imposed on the Client by a broadcaster, producer, advertiser or other third party.

4.

The Service Provider's total liability under the Agreement, regardless of the legal basis, is limited to PLN 10,000.

5.

The limitations and exclusions of liability provided for in the Terms do not apply to damage caused intentionally or to liability that cannot be excluded or limited under mandatory provisions, including liability towards data subjects under Article 82 GDPR.

§ 13. Intellectual property rights and feedback

1.

The author's economic rights and other intellectual property rights to the Service, including the software (code), interface, documentation, database structure, marks and know-how, belong to the Service Provider or its licensors. The Terms do not transfer these rights to the Client or Users. The Service Provider grants the Client a non-exclusive, non-transferable licence to use the Service — by the Client and the Users and Crew members acting within its Organisation, in accordance with the permissions granted — solely in connection with the Client's activity, without territorial limitations, for the term of the Agreement, in the following fields of exploitation:

a.

using the functions of the Service through a web browser, including temporary reproduction in the memory of the end device to the extent necessary to display and use it;

b.

recording and reproducing, for the internal needs of the Client and the Productions it carries out, the reports, printouts and exports generated in the Service.

2.

Apart from the licence set out in section 1, the Client does not acquire any rights to the Service. Without the Service Provider's prior consent expressed in documentary form, it is in particular prohibited to: (i) reproduce, modify, translate, adapt, decompile or disassemble the Service or any part of it, or reconstruct its source code, algorithms or data structure; (ii) rent, lend, resell or otherwise make the Service available to third parties, including granting sublicences; (iii) use the Service or the Service Provider's Confidential Information to create a competing product; (iv) circumvent technical safeguards or limitations of the Service. This provision does not limit the rights under Article 75(2) and (3) of the Polish Act of 4 February 1994 on copyright and related rights which, under Article 76 of that Act, cannot be excluded by contract, to the extent they apply to the Service.

3.

Using the Service in breach of the licence or section 2 constitutes grounds for termination of the Agreement by the Service Provider with immediate effect. In the event of such a breach, the Client will pay the Service Provider a contractual penalty of PLN 50,000.00 for each breach. The Service Provider may claim damages exceeding the contractual penalty on general terms.

4.

Client Content remains the property of the Client or of third parties who have permitted its use. To the extent that Client Content is subject to intellectual property rights, the Client grants the Service Provider a free, non-exclusive licence, without territorial limitations, for the term of the Agreement and the period necessary to export and delete data, to record and reproduce Client Content in the systems of the Service Provider and its subprocessors (including in backups) and to display it and make it available to Users and Crew members within the Client's Organisation — solely for the purpose of providing the Service. The Client declares that, when entering any trade marks or graphics into the Service, it holds the appropriate licences and permissions entitling it to use those materials in the manner set out in these Terms and the functions of the Service.

5.

The Service Provider does not use Client Content for its own purposes, including advertising, building marketing profiles or training artificial intelligence models. The Service Provider may use aggregated statistical data on the use of the Service that do not allow the identification of the Client, the Production or natural persons.

6.

The Client permits the Service Provider to commercially use the suggestions, error descriptions and development proposals voluntarily provided by the Client to improve, develop and commercialise LiveRun. Providing feedback does not oblige the Service Provider to implement such suggestions or to pay remuneration on that account.

7.

Third-party components or integrations may be subject to separate licences. To the extent required by such licences, their provisions apply to the given component.

§ 14. Confidentiality

1.

The Parties undertake to keep confidential all information concerning the other party, the Service and the Agreement obtained in connection with or on the occasion of the presentation, negotiation or performance of the Agreement and the provision of the Service, regardless of the form in which it was provided (“Confidential Information”), and to use it solely for the purpose of performing the Agreement.

2.

The Service Provider's Confidential Information includes in particular all information concerning the Service, its code, architecture, configuration, development plans, information about vulnerabilities, technical documentation, non-public terms of the Pilot Programme and of the planned commercial version (including pricing), non-public functions, screenshots and performance parameters, business and technology plans and information about the Service Provider's business partners.

3.

The Client's Confidential Information includes in particular Client Content — rundowns, scripts and programme formats, cast, schedules and broadcast dates, production and commercial data — regardless of whether it constitutes personal data and whether it has been marked as confidential.

4.

The Party receiving Confidential Information (the “Receiving Party”) undertakes in particular to:

a.

adequately protect the Confidential Information against loss, theft and unauthorised access by third parties, exercising at least the same care as it applies to its own trade secrets, but always with due diligence;

b.

not duplicate or copy the Confidential Information unless necessary to perform the Agreement;

c.

disclose the Confidential Information only to those of its employees, associates and subcontractors (including subprocessors), and in the case of the Client – also to Users and Crew members, who need it to perform the Agreement, after obliging them to keep it confidential; the Receiving Party is liable for the acts and omissions of these persons as for its own;

d.

after the Agreement ends, delete the other Party's Confidential Information, whereby Client Content is deleted within the periods set out in § 11 and § 17 and in the Data Processing Agreement. The Receiving Party may retain copies of Confidential Information to the extent required by mandatory provisions or necessary to establish, pursue or defend claims; the confidentiality obligation applies to such copies.

5.

This obligation does not cover information that: is publicly available without breach of this paragraph; was lawfully obtained from a third party not bound by confidentiality; was developed independently without using the Confidential Information; was disclosed with the prior consent of the other Party expressed in documentary form; or whose disclosure is required by mandatory provisions, a court judgment or an authority's decision — in the latter case the disclosing Party notifies the other Party, where legally permissible.

6.

Information about vulnerabilities and incidents is provided only through the channel indicated by the Service Provider.

7.

The confidentiality obligation is binding for the term of the Agreement and 5 years after it ends, and with respect to information constituting a trade secret within the meaning of the Polish Act of 16 April 1993 on combating unfair competition — additionally for as long as it retains that character.

8.

In the event of a culpable breach of the obligations set out in this paragraph, the breaching Party will pay the other Party a contractual penalty of PLN 5,000.00 for each breach. The entitled Party may claim damages exceeding the contractual penalty on general terms.

§ 15. Illegal content

1.

In accordance with Regulation (EU) 2022/2065 of the European Parliament and of the Council of 19 October 2022 on a Single Market for Digital Services and amending Directive 2000/31/EC (Digital Services Act) (the “DSA”), the Service Provider has designated a single point of contact for direct communication with the authorities of EU Member States, the European Commission, the European Board for Digital Services and recipients of the Service in matters covered by the DSA. The point of contact is available at: team@liverun.io; communication may take place in Polish or English. To the extent that the Service consists of storing information provided by the Client and Users (a hosting service within the meaning of Article 3(g)(iii) DSA), the Service Provider applies the notice and action mechanism set out below (Articles 16–18 DSA). The Service is not an online platform within the meaning of the DSA, because Client Content is not disseminated to the public.

2.

A notice of the presence of illegal content may be sent to team@liverun.io marked "TREŚĆ BEZPRAWNA" (illegal content). The mechanism is also available to persons without an Account.

3.

The notice should contain:

a)

a sufficiently substantiated explanation of the reasons why the notifier considers the content to be illegal,

b)

information allowing the content to be precisely located, in particular the identifier of the Workspace, Production, message or the URL,

c)

the name or company name and e-mail address of the notifier, except where the law allows a notice without these details,

d)

a statement confirming the good faith of the notifier and the accuracy and completeness of the information.

4.

If the notice contains electronic contact details, the Service Provider confirms its receipt and, without undue delay, informs of its decision and the available possibility of challenging it.

5.

The Service Provider handles notices in a timely, diligent, objective and proportionate manner, with due regard to the rights and legitimate interests of all parties involved and to fundamental rights. It may remove or block content, restrict its visibility, suspend a function, an Account or a Workspace, or refuse to act if the notice is insufficient or the content is not illegal.

6.

The Service Provider provides all affected recipients of the Service with a clear and specific statement of reasons including the information set out in Article 17 DSA.

7.

A complaint against the decision may be filed under § 8(13); this does not exclude the right to pursue claims before a court.

§ 16. Transfer of rights and obligations

1.

The Client may not transfer the rights and obligations under the Terms without the Service Provider's prior consent expressed in documentary form.

2.

Transformation. If the Service Provider is transformed into a single-member capital company, the transformed company assumes by operation of law the rights and obligations of the Service Provider under the Agreement and the Data Processing Agreement (Article 584² of the Polish Commercial Companies Code); this does not require the Client's consent.

3.

Transfer of the Agreement. The Service Provider may transfer the Agreement together with the Data Processing Agreement, in whole, to another entity taking over the provision of the Service, in particular to a company in which the Service Provider is a partner or shareholder, including in connection with contributing to such an entity or selling to it the enterprise or an organised part of it. By accepting the Terms, the Client consents to such a transfer. Upon transfer, the acquiring entity takes the place of the Service Provider, and the Agreement and the Data Processing Agreement remain in force in their existing wording.

4.

Continued use of the Service may also take place on the basis of a new Agreement concluded with the entity taking over the provision of the Service, without the need to create the Account and Workspace again, on terms expressly accepted by the Client.

5.

The Service Provider informs the Client of a transformation or transfer at least 14 days in advance, by e-mail to the Account address, indicating the successor's details. The Client's right to terminate the Agreement at any time (§ 17(1)), while retaining the right to export data (§ 11), remains unchanged. A change of the Service Provider's details resulting from a transformation or transfer does not constitute an amendment of the Terms.

6.

Neither a transformation nor a transfer changes the content of the Agreement or the Client's rights regarding Client Content and its export.

§ 17. Termination

1.

The Client may withdraw from the Pilot Programme at any time by deleting the Account in the panel.

2.

Deleting the Account is reversible for 30 days; after that period the data are permanently deleted.

3.

Before deleting the Account, the Client should download its data (Account → Data export) and transfer or delete the Productions it owns — deleting them removes access for all collaborators.

4.

The Service Provider may end the provision of the Test Service with 14 days' notice, and in the event of a gross breach of the Terms by the Client or Users acting in its Organisation — with immediate effect, while preserving the Client's right to download its data for 30 days. Early termination of the Pilot Programme does not give rise to an obligation to pay damages or any compensation.

5.

Data export. § 11 applies to the export of Client Content after the Agreement ends. The Service Provider does not charge fees for data export or for switching providers and does not use solutions that hinder such a switch. After the period referred to in section 2, the data are permanently deleted, except for backups deleted in their overwrite cycle and data whose retention is required by law.

§ 18. Amendments to the Terms

1.

The Service Provider may amend the Terms for important reasons: changes in the law or in its interpretation as a result of court judgments, decisions, recommendations or guidelines of the competent offices or authorities, a change in the scope of the Service or the way it is provided, security considerations, the introduction of new functions, a change of the billing model or the need to remove ambiguities, errors or typos, or a change of contact details, names, numbers, addresses or links in the Terms.

2.

The Service Provider informs of an amendment at least 14 days in advance — by e-mail to the Account address and by a message in the Service.

3.

Failure to object by the date the amendments enter into force means acceptance. An objection is equivalent to termination effective on that date, while preserving the Client's right to download its data for 30 days.

4.

Annex No. 1 is amended in the same procedure. The Service Provider keeps and makes available to the Client on request the version history of the Terms and Annex No. 1 together with the dates of validity and the date of acceptance by the given User.

5.

An amendment materially affecting the scope of the service, liability, confidentiality, fees or the Data Processing Agreement requires renewed active acceptance by the Client; until acceptance, the Service Provider may restrict the Account's functions to reading and exporting data.

§ 19. Final provisions

1.

The governing law is Polish law.

2.

Disputes are resolved by the court competent for the Service Provider's registered office. This provision does not apply to a Client who is an entrepreneur with consumer rights (Article 385⁵ of the Polish Civil Code) — in such a case the competent court is determined by general provisions.

3.

The invalidity, ineffectiveness or unenforceability of a single provision does not affect the validity of the others. The Parties replace such a provision with a solution compliant with the law and as close as possible to its economic purpose.

4.

If, despite the Client's declarations, provisions protecting consumers or entrepreneurs with consumer rights apply, the relevant provisions of the Terms apply only to the extent compliant with those provisions. If a provision of the Terms proves contrary to mandatory provisions of law, the relevant provision of law applies.

5.

Annexes forming an integral part of the Terms: Annex No. 1 — Data Processing Agreement.

6.

The Terms have been drawn up in Polish and the Polish version is binding. Versions in other languages are for information purposes; in case of discrepancies, the Polish version prevails.

7.

Notices and declarations relating to the Terms are made by the parties by e-mail — the Service Provider to the e-mail address assigned to the Account, the Client to team@liverun.io — unless the Terms or a provision of law require another form. The Client ensures that the e-mail address assigned to the Account is up to date.
